MAHTECH SOLUTIONS

Please note: This document sets out our general terms. Specific commercial terms are set out in the proposal, quotation or agreement for each engagement, which takes precedence. When we change this document, we update the date shown above.

These Terms of Service set out the general terms on which MAHTECH SOLUTIONS (“MAHTECH”, “we”, “us”) provides software products, software licences, custom software development, installation, support and related services (“Services”) to its clients (“Client”, “you”).

Each engagement is also governed by a specific proposal, quotation, licence agreement or service agreement (“Agreement”). If there is any conflict between these Terms of Service and an Agreement, the Agreement prevails.

Scope of services

MAHTECH SOLUTIONS may provide:

  • Licences to use MAHTECH software products, such as INVENTRA ERP, INVENTRA Medical, INVENTRA Retail and DocKiosk Print
  • Custom software design and development
  • Installation, configuration and deployment
  • Technical support, maintenance and updates
  • Other services agreed in writing

The scope, deliverables, timelines and fees for each engagement are defined in the relevant Agreement.

Client responsibilities

Unless otherwise agreed in writing, the Client is responsible for:

  • Providing accurate requirements, information and timely feedback
  • Providing access to systems, premises and personnel reasonably required
  • The hardware, operating system, power supply, network, storage and security environment on which the software is deployed
  • Maintaining regular backups of databases and business data
  • Protecting login credentials, database credentials and other authentication information
  • Using the software in accordance with the Agreement and applicable law

Licence restrictions

Unless MAHTECH SOLUTIONS agrees otherwise in writing, the Client must not:

  • Copy, resell, rent, sub-license or share the software, licence key or Premium key with any other business, branch or person
  • Install the software on more systems than the Agreement allows
  • Reverse engineer, decompile, modify or attempt to obtain the source code of the software
  • Remove or bypass licence checks, branding or copyright notices
  • Use the software for any unlawful purpose

A breach of these restrictions allows MAHTECH SOLUTIONS to end the licence and stop support and updates immediately, without refund, in addition to any other remedy available under law.

Client’s own compliance

The software helps the Client record and report business information, including billing, stock, GST-related and pharmacy-related data. The Client remains solely responsible for the accuracy of the data it enters, for checking reports, invoices and tax figures before relying on them, and for its own legal, tax (including GST returns) and regulatory compliance. MAHTECH SOLUTIONS does not provide legal, tax or accounting advice and is not responsible for penalties, interest or losses arising from the Client’s filings or business decisions.

Local deployments and data

Where software is installed on the Client’s local computer or systems, the application database and business data are stored on those systems. The business data entered by the Client belongs to the Client.

MAHTECH SOLUTIONS is not responsible for loss, corruption or unavailability of data caused by hardware failure, storage-device failure, operating-system failure, power failure or surge, accidental deletion, malware, ransomware, unauthorised access, improper handling or other events affecting the Client’s environment. Where a valid and usable backup exists, MAHTECH may provide reasonable assistance with restoration, but recovery cannot be guaranteed where no valid backup exists or the storage device is physically or irrecoverably damaged.

Support and updates

Support is provided as set out in the Agreement and may include installation assistance, configuration assistance, bug fixing, database troubleshooting, application-related technical support and approved updates.

Unless separately agreed, the following are outside normal software support: hardware repair, operating-system repair, hard-disk or data recovery, and issues caused by third-party software or services.

New functionality, customised modules, major modifications, integrations or reports requested specifically by the Client may be subject to additional charges.

Fees and payment

Fees, taxes, payment schedules and payment methods are set out in the relevant Agreement or quotation. If any amount is overdue, MAHTECH SOLUTIONS may pause support, updates, upgrades and further work until it is paid in full. Licence keys, Premium keys and source-code deliverables (where agreed) are released only after the related payment is received in full. See also our Subscription & Commercial Terms and Refund & Cancellation Policy.

Intellectual property

Unless specifically transferred through a separate written agreement, all intellectual property rights in MAHTECH software — including source code, design, architecture, branding and related materials — remain with MAHTECH SOLUTIONS. The Client receives the licence or rights described in the Agreement and does not automatically receive ownership of source code. Ownership of custom-developed work is as specified in the relevant Agreement. See our Intellectual Property Policy.

Confidentiality

Both parties agree to keep confidential any confidential information received during the business relationship, including credentials, business records, customer and supplier information, commercial information, and software source code and proprietary technical information.

Warranties

MAHTECH SOLUTIONS will make reasonable efforts to ensure its software operates according to its documented functionality. Software may contain limitations or defects; reported defects will be reviewed and addressed according to their nature and priority. MAHTECH’s sole obligation for a defect is to correct it or provide a reasonable workaround. Except as expressly stated in an Agreement, the software and services are provided “as is”, and all other warranties, express or implied — including fitness for a particular purpose and uninterrupted or error-free operation — are excluded to the extent permitted by law.

Third-party products and services

MAHTECH SOLUTIONS is not responsible for failures caused by third-party products or services outside its reasonable control, including operating systems, database software, antivirus software, hardware, internet service providers, payment providers and external APIs or services.

Limitation of liability

To the extent permitted by applicable law, MAHTECH SOLUTIONS is not liable for indirect, incidental, special, consequential or business losses, including loss of profits, revenue or data, arising from circumstances outside its reasonable control or from the Client’s environment, lack of backups, unauthorised access, malware, power-related incidents or misuse. In all cases, MAHTECH’s total aggregate liability arising out of or relating to any engagement, whether in contract, negligence or otherwise, is limited to the fees actually paid by the Client for the specific product or service giving rise to the claim in the 12 months preceding the claim.

Indemnity

The Client agrees to indemnify MAHTECH SOLUTIONS against claims, losses and costs arising from the Client’s breach of the Agreement or these Terms, misuse of the software, unlawful use, or the data and content the Client enters into or processes with the software.

Events outside our control

MAHTECH SOLUTIONS is not responsible for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, power or internet outages, illness, government action, strikes, or failures of third-party services, hardware or software.

Termination

An engagement may be terminated in accordance with the Agreement, its licence and payment terms, or by mutual written agreement. MAHTECH SOLUTIONS may also suspend or terminate an engagement or licence if the Client breaches the Agreement or these Terms, or fails to pay amounts due after being reminded. Amounts already due remain payable after termination. Termination does not transfer ownership of software or source code unless separately agreed in writing.

Governing law and disputes

These Terms of Service are governed by the laws of India. Subject to applicable law, the courts having jurisdiction over Ranipet District, Tamil Nadu shall have exclusive jurisdiction. Before starting any legal proceedings, the Client must first raise the dispute with MAHTECH SOLUTIONS in writing and allow 30 days for it to be resolved through discussion.

Changes

We may update these Terms of Service from time to time. The version in force at the time an Agreement is signed applies to that engagement unless both parties agree otherwise.
